1. Agreement to Terms
   These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LeedAB Inc. ("Company," "we," "us," or "our") governing your access to and use of the LeedAB platform, including any associated websites, applications, and services (collectively, the "Service").
   By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service
   LeedAB provides an AI-powered memory and productivity platform that enables users to store, organize, and retrieve information using artificial intelligence. The Service includes features such as:
   • AI-assisted memory storage and recall
   • Document management and organization
   • Integration with third-party services (Google Drive, Gmail)
   • Team collaboration and organization management
   • API access for developers

3. Account Registration
   To use certain features of the Service, you must register for an account. When registering, you agree to:
   • Provide accurate, current, and complete information
   • Maintain and promptly update your account information
   • Maintain the security and confidentiality of your login credentials
   • Accept responsibility for all activities that occur under your account
   • Notify us immediately of any unauthorized use of your account
   You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent.

4. Subscription and Payments
   4.1 Pricing and Plans
   The Service offers various subscription plans, including free and paid tiers. Paid plans are billed in advance on a monthly or annual basis. Pricing is subject to change with 30 days notice to existing subscribers.
   4.2 Payment Terms
   By subscribing to a paid plan, you authorize us to charge your payment method for all fees associated with your subscription. All payments are processed securely through Stripe. You are responsible for providing valid payment information.
   4.3 Refunds
   Subscription fees are non-refundable except as required by law or at our sole discretion. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.
   4.4 Credits
   Some features may require credits or usage-based billing. Unused credits do not roll over between billing periods unless otherwise specified in your plan.

5. Acceptable Use Policy
   You agree not to use the Service to:
   • Violate any applicable laws, regulations, or third-party rights
   • Upload, transmit, or store content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
   • Impersonate any person or entity or misrepresent your affiliation
   • Interfere with or disrupt the Service or servers connected to the Service
   • Attempt to gain unauthorized access to any part of the Service
   • Use the Service for any illegal or unauthorized purpose
   • Transmit viruses, malware, or other malicious code
   • Harvest or collect user information without consent
   • Use automated systems (bots, scrapers) without our written permission
   • Resell or redistribute the Service without authorization

6. User Content
   6.1 Ownership
   You retain all ownership rights to content you upload, create, or store through the Service ("User Content"). We do not claim ownership of your User Content.
   6.2 License Grant
   By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or close your account.
   6.3 Responsibility
   You are solely responsible for your User Content and the consequences of uploading or publishing it. We do not endorse any User Content and expressly disclaim any liability arising from User Content.

7. Third-Party Integrations
   The Service may integrate with third-party services such as Google Drive and Gmail. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.
   When you connect a third-party service, you authorize us to access and use information from that service as permitted by your settings and the third-party's terms. You may disconnect third-party services at any time through your account settings.

8. Intellectual Property
   The Service and its original content, features, and functionality are owned by LeedAB Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
   You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

9. API Terms
   If you access the Service through our API, you agree to the following additional terms:
   • You will not use the API in a manner that could damage, disable, or impair the Service
   • You will keep your API keys confidential and not share them with unauthorized parties
   • You will comply with all applicable laws and regulations
   • We may suspend or terminate API access for violations of these terms

10. Privacy
    Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at https://leedab.com/privacy to understand our data practices.

11. Disclaimers
    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
    We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. You use the Service at your own risk.
    AI-generated content and suggestions are provided for informational purposes only and should not be relied upon as professional advice. We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs.

12. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEEDAB INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
    • Your access to or use of (or inability to access or use) the Service
    • Any conduct or content of any third party on the Service
    • Any content obtained from the Service
    • Unauthorized access, use, or alteration of your transmissions or content
    OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification
    You agree to defend, indemnify, and hold harmless LeedAB Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
    • Your access to or use of the Service
    • Your violation of these Terms
    • Your violation of any third-party rights
    • Your User Content

14. Termination
    We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
    You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, we will delete your data in accordance with our Privacy Policy.
    All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Modifications to Terms
    We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Effective Date." Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
    If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.

16. Governing Law and Dispute Resolution
    These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
    Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
    You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against LeedAB Inc.

17. Severability
    If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement
    These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and LeedAB Inc. regarding the Service and supersede all prior agreements and understandings.
